Terms of Service

Introduction

These Terms of Service ("Terms") are a binding agreement between you and Claim Copilot, Inc., doing business as Pinetree Research, which develops and operates Solari. In these Terms, "Solari," "we," "us," and "our" refer to Claim Copilot, Inc.

These Terms govern your access to and use of getsolari.com, console.getsolari.com, docs.getsolari.com, our cloud browsers, virtual machines, sandboxes, APIs, SDKs, command-line tools, templates, snapshots, volumes, documentation, support, and any related products or services we provide, collectively the "Platform."

By creating an account, accepting an order, calling an API, or otherwise using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

If you use the Platform under a separately signed order form, master services agreement, business associate agreement, data processing agreement, or other written agreement with us, that agreement controls to the extent it conflicts with these Terms.

Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a contract to use the Platform.

If you use the Platform for a company, school, laboratory, or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization.

Accounts and Organizations

You must provide accurate account and billing information and keep it current. You are responsible for safeguarding your login credentials, API keys, access tokens, profiles, and other authentication material.

You are responsible for all activity under your account, organization, and credentials, whether performed by you, your users, your software, or your agents. Do not share individual accounts or expose credentials in public repositories, client-side code, prompts, logs, or published content.

Organization owners and administrators may manage users, credentials, billing, resources, and Customer Data associated with their organization. You are responsible for assigning appropriate permissions and removing access when it is no longer needed.

If you believe an account or credential has been compromised, rotate the affected credentials and contact us immediately at hello@getsolari.com.

The Platform

Solari provides cloud infrastructure for agents and automation, including Chrome browser sessions, Linux virtual machines, and code sandboxes. One API key may be used across multiple Platform products. You choose what runs, where it connects, and what actions it takes.

We provide infrastructure, not instructions or outcomes. We do not direct, approve, or guarantee the conduct or results of your software, agents, workloads, or interactions with third-party services.

We may improve, modify, replace, deprecate, or discontinue Platform features. When reasonably practical, we will provide advance notice of a material change that significantly reduces paid functionality.

Acceptable Use

You may use the Platform only for lawful purposes and in ways that do not harm the Platform, other users, or third parties. You may not use, assist others in using, or allow the Platform to be used to:

  • Access a system, account, network, or data without authorization, or circumvent access controls in violation of law, contract, or a third party's terms.
  • Steal, harvest, purchase, expose, or misuse credentials, authentication tokens, personal data, confidential information, or financial information.
  • Phish, spam, impersonate, deceive, defraud, harass, stalk, threaten, or send unlawful or unsolicited communications.
  • Create, distribute, host, or operate malware, ransomware, botnets, denial-of-service attacks, credential-stuffing systems, cryptojacking, or other harmful code or infrastructure.
  • Exploit or endanger children, facilitate human trafficking, distribute unlawful intimate material, or create or distribute child sexual abuse material.
  • Develop, acquire, or deploy weapons or engage in activity that creates an unreasonable risk of death, bodily injury, or significant property damage.
  • Scrape, collect, monitor, or process information in violation of privacy, data protection, intellectual property, communications, employment, consumer protection, or other applicable laws.
  • Probe, scan, test, benchmark, or attempt to defeat the security or resource limits of the Platform without our prior written permission.
  • Interfere with Platform operations, evade quotas or billing controls, conceal abusive usage, or place unreasonable load on our systems or suppliers.
  • Mine cryptocurrency or use resources primarily for speculative proof-of-work computation.
  • Resell, sublicense, lease, or provide raw Platform access as a standalone service without our written agreement. You may build and sell your own product using the Platform.
  • Use the Platform in violation of export controls, sanctions, or restrictions that apply to you, us, or the Platform.
  • Violate any applicable law, regulation, court order, contractual obligation, or third-party right.

We may investigate suspected violations, preserve relevant information, cooperate with lawful authorities, remove content, restrict workloads, and suspend or terminate access. We may act immediately where we reasonably believe there is an urgent security, legal, fraud, abuse, or safety risk.

Agents, Automations, and Third-Party Services

You control the actions

Every action performed through your browser sessions, virtual machines, sandboxes, scripts, API calls, and agents is your responsibility. This includes data accessed or changed, communications sent, transactions submitted, files created, and any consequences of those actions.

Third-party terms apply

When your workloads interact with a website, application, API, model provider, payment processor, proxy network, or other third-party service, you are responsible for complying with that service's terms, permissions, rate limits, robots directives, and applicable laws. We are not responsible for third-party content, availability, security, practices, blocks, bans, account actions, or claims.

AI systems can be wrong

Agents may misunderstand instructions, take unintended actions, submit inaccurate information, or produce unreliable results. You must test and supervise your agents, review their outputs, and use appropriate human approval and technical safeguards before they spend money, send communications, modify records, make decisions about people, control physical systems, or perform other consequential actions.

Credentials and Sensitive Data

If you provide logins, cookies, profiles, tokens, files, or other credentials to the Platform, you represent that you are authorized to use and process them. Use dedicated, least-privilege credentials wherever possible and rotate them when access changes or compromise is suspected.

Do not submit regulated or highly sensitive data unless your plan and written agreement expressly support that data. This includes protected health information, payment card data, classified information, export-controlled technical data, biometric identifiers, and sensitive personal information.

Protected health information may be used with the Platform only under an eligible Enterprise arrangement and after both parties sign a HIPAA-compliant business associate agreement. Do not submit protected health information under Free, Starter, or Professional plans.

Customer Data and Content

"Customer Data" means information, files, code, prompts, configurations, credentials, session content, recordings, logs, screenshots, outputs, and other material that you or your users submit to, collect through, or generate on the Platform.

As between you and us, you retain ownership of Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, process, and otherwise use Customer Data only as necessary to provide, maintain, secure, support, and improve the Platform, comply with law, and enforce these Terms.

You represent that you have all rights, permissions, notices, and consents required to submit and process Customer Data and to direct us to process it. You are responsible for the accuracy, legality, and integrity of Customer Data and for your instructions concerning it.

We do not sell Customer Data or use Customer Data to train machine-learning models without your explicit consent. We may create and use aggregated or de-identified information that does not reasonably identify you, your users, or any individual to operate, secure, analyze, and improve the Platform.

Retention periods vary by product, plan, and configuration. Session recordings, logs, snapshots, files, and other resources may be deleted when retention expires, credits are exhausted, an account closes, or a resource is removed. The Platform is not your system of record. Maintain independent backups of anything you need to keep.

Data Protection and Security

Our Privacy Policy describes how we process personal information for our own business purposes. Where we process personal data on your behalf, each party will comply with the data protection laws that apply to it. Legal roles such as controller, processor, business, service provider, covered entity, and business associate depend on the processing context and applicable law.

If applicable law requires additional processor or service-provider terms, you may request our data processing agreement. A business associate agreement is available only for eligible Enterprise customers and must be signed before protected health information is processed.

We use administrative, technical, and organizational safeguards designed to protect the Platform and Customer Data. No system, network, encryption method, or isolated environment is completely secure. You are responsible for configuring your resources, permissions, integrations, workloads, and retention settings appropriately for your use case.

Shared and Public Content

If the Platform allows you to share or publish templates, snapshots, scripts, runs, configurations, or other content, you choose whether to make that content public. Public content may be visible, copied, forked, modified, and used by others.

When you publish content publicly, you grant us and other Platform users a worldwide, non-exclusive, royalty-free license to access, host, reproduce, display, copy, modify, distribute, execute, and use it, including commercially, subject to any separate license terms you clearly attach.

Do not publish credentials, personal data, regulated data, confidential information, malicious code, or content you do not have the right to share. You are responsible for reviewing third-party content before using or executing it. We do not audit or endorse user-submitted content and may remove it at any time.

Plans, Credits, and Billing

Plans and rates

Current plan fees, included credits, usage rates, limits, and product-specific charges are shown on our pricing page, in the console, or in your order form. Unless an order states otherwise, paid self-service plans are billed monthly in advance and automatically renew until canceled.

Credits and usage

Browsers, virtual machines, sandboxes, proxies, CAPTCHA solves, storage, and other usage draw from your available credit balance at the applicable plan rate. Included monthly credits refill each billing month and do not roll over. Purchased top-up credits do not expire, and included monthly credits are used before top-up credits.

Solari does not automatically bill usage beyond your available credit balance. When your balance is depleted, we may stop new resources from launching, pause workloads, or require a top-up before additional usage. Your console and our metering records are the source of truth for usage and billing. Resources may continue consuming credits while running, connected, or stored, even when idle, as described on the pricing page.

Payment authorization

By providing a payment method, you authorize us and our payment processor to charge plan fees, requested top-ups, taxes, and any other amounts you expressly authorize. You must keep payment information current. If payment fails, we may retry the charge and suspend or terminate paid access.

Cancellation and refunds

You may cancel a self-service subscription through the console. Cancellation takes effect at the end of the current paid billing period unless applicable law requires otherwise. Fees and purchased credits are non-refundable except where required by law or expressly stated in writing. If we terminate a paid subscription for convenience rather than your breach, we will refund the unused prepaid portion of the affected subscription fee.

Price changes and taxes

We may change prices and plan terms. We will provide at least 30 days' notice before a price increase applies to an existing self-service subscription. Fees exclude applicable sales, use, VAT, GST, withholding, and similar taxes. You are responsible for those taxes other than taxes based on our net income.

Free access and promotions

Free plans, trials, promotional credits, and preview access are provided as available, may have additional limits, and may be changed or withdrawn at any time. Promotional or included monthly credits may expire as stated when issued.

Usage Limits

The Platform may apply rate limits, concurrency limits, session duration limits, storage quotas, regional restrictions, compute quotas, and other technical or plan limits. We may throttle, pause, reject, or terminate workloads that exceed limits or threaten Platform security, stability, availability, or other users. Contact us if you need different limits.

Intellectual Property

Our technology

The Platform, including our software, APIs, SDKs, infrastructure, documentation, designs, interfaces, trademarks, and content, is owned by us or our licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Platform during your authorized access.

Except to the extent applicable law does not permit the restriction, you may not copy, modify, reverse engineer, decompile, disassemble, sell, lease, sublicense, create derivative works from, or remove proprietary notices from the Platform. You may not use our names, logos, or trademarks without written permission, except to truthfully state that your product uses Solari.

Open source

Open-source components are governed by their applicable licenses. Those licenses control to the extent they conflict with these Terms.

Feedback

If you provide ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate it without restriction or compensation.

Copyright Complaints

If you believe material available through the Platform infringes your copyright, send a written notice identifying the copyrighted work, the allegedly infringing material and its location, your contact information, your good-faith belief that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your physical or electronic signature.

We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate. Misrepresentations in a copyright notice may create liability.

Confidentiality

Each party may receive nonpublic business, technical, security, or financial information that a reasonable person would understand to be confidential. The receiving party will use confidential information only to perform or exercise rights under these Terms and will protect it using reasonable care.

Confidential information does not include information that becomes public without breach, was already lawfully known without restriction, is received lawfully from a third party without a duty of confidentiality, or is independently developed without use of the other party's confidential information.

A receiving party may disclose confidential information when required by law, subpoena, or court order. Where legally permitted, it will provide reasonable advance notice and assistance so the disclosing party may seek protection.

Third-Party Services

The Platform may depend on, integrate with, link to, or enable access to third-party services and content. We do not control and are not responsible for third-party services, terms, security, availability, accuracy, or conduct. Your use of them is governed by your agreement with the applicable provider.

Beta and Preview Features

Features identified as alpha, beta, preview, experimental, early access, or similar are provided for evaluation. They may be incomplete, unstable, changed, suspended, or discontinued without notice and may not be covered by support, security, availability, retention, or service commitments. Do not rely on them for critical production workloads unless a written agreement says otherwise.

Service Availability and Support

We work to keep the Platform available and reliable, but unless a signed agreement expressly states otherwise, we do not guarantee uptime, uninterrupted access, error-free operation, specific performance, compatibility with any third-party website, or preservation of Customer Data.

Performance and availability may depend on cloud providers, networks, regions, third-party websites, software updates, and your workloads. We may perform scheduled or emergency maintenance and may limit access where necessary to protect the Platform.

Support is provided according to your plan or order. Unless otherwise agreed, support is offered on a reasonable-efforts basis through our documentation and hello@getsolari.com.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS; BE SECURE, TIMELY, UNINTERRUPTED, OR ERROR-FREE; PRESERVE DATA; WORK WITH ANY WEBSITE OR SERVICE; OR PRODUCE ACCURATE, COMPLETE, SAFE, OR RELIABLE RESULTS. AI AND AUTOMATION OUTPUTS REQUIRE INDEPENDENT REVIEW.

Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER SOLARI NOR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR 100 U.S. DOLLARS.

These limits apply regardless of the theory of liability and to claims involving agent actions, third-party services, unauthorized access, data loss, service interruption, and security incidents. They do not limit liability that cannot lawfully be limited, including liability for fraud, willful misconduct, or gross negligence where applicable law prohibits limitation.

Indemnification

You will defend, indemnify, and hold harmless Solari and our affiliates, officers, directors, employees, agents, and suppliers from claims, demands, proceedings, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your access to or use of the Platform, including actions taken by your users, agents, automations, scripts, or workloads.
  • Customer Data, public content, credentials, instructions, products, or services you provide through or in connection with the Platform.
  • Your violation of these Terms, applicable law, or a third party's rights or terms.
  • A dispute between you and a third party arising from your use of the Platform.

We will provide prompt notice of a covered claim, allow you to control the defense with counsel reasonably acceptable to us, and reasonably cooperate at your expense. We may participate with our own counsel. You may not settle a claim in a way that admits fault by us, imposes obligations on us, or fails to provide an unconditional release without our written consent.

Suspension and Termination

You may stop using the Platform and close your account at any time. Closing an account does not cancel amounts already due or create a right to a refund.

We may suspend or terminate access if we reasonably believe you violated these Terms, failed to pay, created a security or legal risk, engaged in fraud or abuse, or could harm the Platform or others. We may also discontinue all or part of the Platform with reasonable notice when practical.

After termination, your right to use the Platform ends, running resources may stop, and Customer Data may be deleted after a reasonable period. Export needed data before termination. Provisions that by their nature should survive will survive, including payment obligations, ownership, confidentiality, disclaimers, liability limits, indemnification, disputes, and general terms.

Changes to These Terms

We may update these Terms. If a change is material, we will provide at least 14 days' notice by email, through the Platform, or by another reasonable method before it takes effect, unless an earlier change is required by law or needed to address an urgent security, abuse, or legal issue. The Last Updated date identifies the current version.

Your continued use of the Platform after revised Terms take effect constitutes acceptance. If you do not agree, stop using the Platform and cancel your account before the revised Terms take effect.

Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution

Before filing a formal claim, you and Solari agree to send a written description of the dispute and requested resolution to hello@getsolari.com.

The parties will attempt in good faith to resolve the dispute for at least 30 days after notice before commencing a formal proceeding, unless immediate injunctive relief is reasonably necessary.

Exclusive venue

Any dispute not resolved informally will be brought exclusively in the state courts located in Santa Clara County, California, or the federal courts serving that county. Each party consents to personal jurisdiction and venue in those courts.

Individual claims

To the extent permitted by law, each party may bring claims only in its individual capacity and not as a plaintiff or class member in a class, collective, consolidated, coordinated, or representative action.

Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief to protect intellectual property, confidential information, accounts, systems, or security.

Export Controls and Sanctions

You will comply with applicable U.S. and international export-control, import, and economic-sanctions laws. You may not use or access the Platform if you are a prohibited or restricted party, are acting on behalf of one, or are located in a territory where providing the Platform would be prohibited.

You may not export, re-export, transfer, or use the Platform, software, technical information, or outputs for prohibited end uses or end users. You are responsible for obtaining required licenses and screening your users, destinations, and use cases where required.

General Terms

Entire agreement

These Terms, our Privacy Policy, and any applicable order or signed agreement are the entire agreement between you and us concerning the Platform and replace prior or contemporaneous agreements on the same subject.

Assignment

You may not assign or transfer these Terms, your account, or your rights without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or by operation of law.

Severability and waiver

If a provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.

Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, labor disputes, war, terrorism, civil unrest, government action, internet or utility failures, cyberattacks, cloud-provider outages, or third-party service changes. This does not excuse payment obligations.

Relationship

The parties are independent contractors. These Terms do not create a partnership, joint venture, fiduciary, franchise, agency, or employment relationship. There are no third-party beneficiaries unless expressly stated.

Electronic communications

You consent to receive agreements, notices, disclosures, billing communications, and other records electronically. Electronic communications satisfy legal requirements that communications be in writing where permitted by law.

Notices

We may send notices to the email associated with your account or through the Platform. Formal notices to Solari must be sent to hello@getsolari.com.

Publicity

We may identify your organization as a customer using its name and logo. You may opt out at any time by contacting us, and we will stop future use within a reasonable period.
